(called “The Purchaser”), [Purchase Basic Agreement] : supplier => 英文合約裡 會先介紹當事人(就是合約的第一段) 再說明締約原由(Whereas) 中文合約當然也會講到當事人(XXX下稱甲方OOO下稱乙方) 可是締約原由通常省略 這段中文 看起來像是說明締約原由的條款 (要確定當然還是看合約啦) 如果是的話 就不能翻成英文合約裡的當事人條款 而要寫成Whereas條款 Whereas, based on the General Agreement of Purchase and Sale dated 2008/XX/ XX (hereinafter referred to as the "General Agreement"), the Supplier EEE and the Buyer MMM agree to enter into a supplemental agreement thereto (hereinafter referred to as the "Agreement") as below: : 第一條 （產品細節） : 供給方對於採購方，提供下述產品（產品型號：XXX，以下稱為"產品A"） : 1 (The product detail) : 　 The Supplier provides the below product (product number : PC302 , : hereinafter called “Product-A”) to the Purchaser for sell. Article 1 Product. Supplier shall provide Buyer below products: Product model:XXX (hereinafter referred to as "Product A"). : 第二條 （收貨條件及保證條件） : 供給方，要嚴格遵守附件"Purchasing Specification"的各項條件，提供產品A給採購方 : 。 : 2 (The delivery condition and guarantee condition) : The Supplier should strictly observes the conditions which is wrote on : the attached slip [Purchasing Specification], and delivery Product-A to the : Purchaser. Article 2 Delivery and Warranty Supplier shall provide Product A to Buyer in strictly conformity to the conditions set forth in the Annex "Purchasing Soecification". : 第三條 （追加合約） : 供給方及採購方對於產品A的品質維持及提昇，還有其他合約條件之變更等，於必要時， : 隨時簽署追加合約以作為本合約補充。 : 3 (Adding agreement) : The Supplier and The Purchase agreed to complement The Contract as needed : when keeping or improving the quality of Product-A, or otherwise need to : change the other agreement for The Contract). Article 3 Supplements. Supplier and Buyer agree to enter into supplement(s) to this Agreement if necessary to maintain and improve the quality of Product A and to amend the terms and conditions between the Supplier and Buyer. 基本上 合約除了常有通用用語之外 更重要的是記載的當事人的權利義務 所以 就算中文只是敘述句 英文也要表現出權利義務 也就是shall這類用語 還有合約是針對將來發生事項 所以除非是描述事實背景 不然不會用agreed 其他像是purchaser contract observe 很少這樣用 個人沒見過 如果只是要翻譯 這樣大概就ok 可是 說實在 這個中文約寫得不夠好 我寫的英文也只是翻譯 就合約來說結構實在不夠嚴謹 語意太模糊 法效性不夠好 突然有加班的感覺 早知道不要晃進來= = --
