标题[北美] 关於快要IPO的公司的RSU的问题

最近拿到一个startup offer
关於RSU的部分offer letter是这样写:
Your RSU grant will be subject to vesting conditions.
The first vesting condition is based on your service where the RSU will
vest at a rate of 12/48 the total number of RSUs after your first 12 months
of continuous service, and 3/48 the total number of RSUs on each 3-month
anniversary of continuous service after that.
The second vesting condition is based on the company and requires that
the company IPO or be acquired in a change of control, in either case,
within 7 years of the grant date. Both vesting conditions must occur
for you to receive the shares.
这样是说除非公司IPO或是被买走, 否则我什麽都拿不到吗?
公司目前的valuation超过10B, 应该是一定会IPO, 但是valuation可能太高
万一因为乱七八糟的因素IPO一直拖然後没人买, 是不是我什麽都不会拿到?
